By signing up for the vHelp services (vHelp Services), as well as continuing to browse and use the website vhelp.co.uk or downloading any applications connected with vHelp (the website and any apps together forming the vHelp Platform) you agree to be bound by these terms and conditions (Terms and Conditions) together with the vHelp Privacy Notice.

Please read the Terms and Conditions carefully before registering. By using vHelp Platform, you agree to these terms and conditions; if you do not agree, do not use the vHelp Platform.

These Terms and Conditions may be updated by vHelp from time to time without notice. Your privacy is very important to us. vHelp’s Privacy Notice applies to use of the vHelp Website and vHelp Services, and its terms are made a part of the Terms and Conditions by this reference. vHelp is not liable for any injuries, actions or omissions in connection with the vHelp Services. Except where prohibited by law, in no event will vHelp be liable for any indirect, consequential, exemplary, incidental or punitive damages, including, but not limited to any losses you incur, even if vHelp has been advised of the possibility of such damages.

Intellectual Property

You agree that all of vHelp’s trademarks, trade names, service marks, logos, products, service names, software, and software content are trademarks and the property of vHelp and are protected by local and international copyright laws.

Without vHelp’s express written consent, you agree not to display, publish, manipulate, distribute, reproduce, or use in any manner vHelp’s trademarks, trade names, service marks, logos, products, or service names.

Without vHelp’s express written consent, you agree not to modify, translate, reverse engineer, or decompile any software on vHelp Platform or supplied by vHelp.

Member Conduct

You agree to not use the vHelp Platform or vHelp Services to:

  1. upload, post, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or otherwise objectionable;
  2. harm vulnerable people in any way;
  3. seek any financial remuneration in connection with the vHelp Services, including gifts, benefits or hospitality;
  4. impersonate any person or entity;
  5. stalk or otherwise harass another; or
  6. intentionally or unintentionally violate any applicable local, national, or international law while using vHelp Platform or vHelp Services.

You acknowledge, consent and agree that vHelp may access, preserve and disclose your account information and content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to comply with legal process; enforce the Terms and Conditions, respond to claims of third parties; respond to your request for customer service; or protect the rights, property, or personal safety of vHelp, its users, or the public.

You expressly understand and agree that your use of vHelp Platform and vHelp Services are at your sole risk and that they are provided on an “as is” and “as available” basis. vHelp and its officers, agents, employees, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

vHelp and its officers, agents, employees, partners and licensors make no warranty that the vHelp Platform or vHelp Services will meet your requirements, be uninterrupted, timely, secure, error-free, the quality of any services, information or other material available on the vHelp Platform will meet your expectations, or errors in vHelp Platform or vHelp Services will be corrected.

Violation of these Terms and Conditions

vHelp reserves the right at all time to disclose any information that it deems necessary to comply with any applicable law, regulation, legal process, or government request. You acknowledge and agree that vHelp may preserve any transmittal or communication by you with vHelp through the site or any service offered on or through vHelp Platform.

You acknowledge and agree that vHelp may disclose such data if required to do so by law or if vHelp determines that such preservation or disclosure is reasonably necessary to comply with legal process, enforce these Terms and Conditions, respond to claims, or protect the rights, property, or personal safety of vHelp, its employers, users of or visitors to vHelp Platform and the public.

Indemnity

You agree to indemnify and hold vHelp and its officers, agents, employees, partners and licensors harmless from any claim, demand, loss, liability, or expenses (including reasonable attorneys’ fees), made against vHelp by any third party due to or arising out of or in connection with using vHelp Platform, your violation of the Terms and Conditions, or your violation of any rights of another.

Governing Law and Jurisdiction

You agree that all matters and disputes relating to your access and use of vhelp.co.uk will be governed in accordance with the laws of England. In the event of any dispute or claim associated with usage of the vHelp Platform of vHelp Services or these Terms and Conditions, that dispute or claim shall be subject to the exclusive jurisdiction of the English courts.

If any of the provisions of these Terms and Conditions are held by a court of competent jurisdiction to be void or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that embodies the intent of these Terms and Conditions so that these terms shall remain in full force and effect

Termination

You agree that vHelp may, without prior notice, immediately terminate, limit your access to or suspend your vHelp account. Cause for such termination, limitation of access or suspension shall include, but is not limited to: breaches or violation of the Terms and Conditions, requests by law enforcement or other government agencies, unexpected technical or security issues or problems, extended period of inactivity, or engagement by you in fraudulent or illegal activities.

You may terminate your vHelp account by submitting such termination request to vHelp.

No Third-Party Beneficiaries

You agree that, except as otherwise expressly provided in these Terms and Conditions, there shall be no third-party beneficiaries to this agreement. You agree that your vHelp account is non-transferrable. Any rights to your vHelp account or contents within your account terminate upon your death.

Entire agreement

These Terms and Conditions constitute the entire agreement between you and vHelp with regard to your use of the VHelp Platform and affiliated websites and services. vHelp will not accept any counter-offers to these Terms and Conditions. All such counter-offers are hereby rejected.

Feedback and Information

Any feedback you provide to vHelp shall be deemed to be non-confidential. vHelp shall be free to use such information on an unlimited and unrestricted basis.
